1.    Name of Association     1:1    The Name of the association shall be ‘Chailey Heritage School Old Scholars’ Association’. 2.    The Aims of the Association     2:1    To foster the friendship formed by former members of Chailey Heritage School, both staff and pupils and sustain contact with other Old Scholars and the life of the modern Heritage.     2:2    To support the aspirations of the Heritage of today and help maintain its traditions and history.     2:3    Maintain a Benevolent Fund to provide financial assistance, as appropriate, to needy Old Scholars and to exercise due discretion, in making distributions from the said Fund. 3.    Membership    3:1    Full membership of the Association shall be open to all former members of Chailey Heritage, both staff and pupils, who wish their names to appear on the membership roll, and who have paid the appropriate subscriptions.     3:2    Full members have the right to receive magazines, invitations, annual reports and all available information on the affairs of the Association and its committees.     3:3    Full members have the right to vote on all matters pertaining to the governance of the Association.     3:4    Full members have the right to offer themselves for election to the Committee subject only to having a nominator and seconded from the full membership and be able to attend meetings on a regular basis.     3:5    Full members have the right to appear before the Committee to express their views subject to prior arrangements with the Secretary.     3:6    Full members shall be issued with a copy of the Constitution and shall be informed of all amendments.      Associate Membership     3:7    Associate membership of the Association shall be open to all persons interested in the Association who have paid the appropriate subscription.     3:8    Associate members shall have the right to receive magazines, invitations, annual reports and all available information on the affairs of the Association and its Committees.     3:9    Associate members have the right to attend the Annual General Meeting but shall have no voting rights, except in the case of someone co-opted onto the Committee with the approval of members at the AGM, in which case the Associate member, shall have full voting rights.    3:10    Associate members shall be issued with a copy of the Constitution and shall be informed of all amendments. 4.    Governing Body     4:1    The business of the Association shall be managed and conducted by the Committee.     4:2    The Committee shall consist of: The Chairman of the Governors, the Principal of Chailey Heritage School and a representative of The Friends of Chailey Heritage…ex-officio.  Ten elected members of the Association.    4:3    Members of the Committee shall be elected at the AGM for a five year period, and may stand for re-election   A member of the Committee with communication (or other problem,) may have an assistant, but it is the member of the Association who is the Committee member.     4:4    The Committee may co-opt from the membership of the Association to replace any deficiency in its numbers.  Co-Opted Members must stand for re-election at the next A.G.M.     4:5    All members of the Committee shall be equal regardless of office and shall possess one vote.  In the case of a tied vote, the Chairman shall have a casting vote.     4:6    A quorum shall be not less than five full members of the Committee.     4:7    A member of the Committee who fails to attend meetings to the satisfaction of the Committee shall be deemed to have resigned upon a simple majority vote of the Committee. 5.    Officers     5:1    The Committee shall elect, from its members, such officers as it deems necessary.     5:2    No officer shall be elected who is not a full member of the Committee, unless co-opted onto the Committee as an Associate Member at the AGM, as provided for at 3.9.     5:3    Officers shall hold their office subject only to good conduct, the right of resignation or the carriage of a vote of no confidence. 6.    Meetings     6:1    The Committee shall meet at least twice a year and it shall be the responsibility of the Secretary to ensure that this minimum is observed.     6:2    The Secretary shall give four weeks notice of all meetings to all persons entitled to attend Committee meetings at the same time furnishing the appropriate minutes and agenda for the forthcoming meeting.     6:3    An emergency or special meeting of the Committee shall be called by the Secretary on the written request of three or more full members, of the Committee.     6:4    The Annual General Meeting of the Association shall be held each calendar year, within fifteen Months of the previous one, normally at the Annual Reunion at Chailey.  The minutes of the previous meeting  and the full agenda shall be distributed to all members on arrival at the Reunion.     6:5    A minimum of six members of the Association may petition the Secretary to convene a full general meeting of members in order to express their views to the Committee. 7.    Finance and Property     7:1    The Committee shall appoint from its members a Treasurer to oversee the financial affairs of the Association and present to the A.G.M. an annual report on the Association’s resources.     7:2    The monies and properties of the Association shall be deployed as determined by the Committee in accordance with the declared aims of the Association.     7:3    At the meeting next before the Annual General Meeting, the Committee shall review the level of subscription to the Association, for the forthcoming Year. 8.    Dissolution     8:1    Should the Association be dissolved by resolution or default, those members of Committee remaining shall meet and agree the disbursement of all Monies and properties respecting the aims of the Association, set out above. 9.    Amendment of the Constitution     9:1    This Constitution shall be subject  to alterations by a majority vote at a regular meeting of the Committee, provided that  notice of such alterations is given at the previous meeting of the Committee.     9:2    All alterations to the Constitution shall be notified to members and are subject to ratification at the next General Meeting of the Association. 10.   Presidents and Vice-Presidents    10:1    These Honorary titles shall be offered to those who have made a significant contribution to the life of the Association, on the recommendation of the Committee when endorsed by the membership at an Annual General Meeting.    10:2    Honorary Officers, shall be at liberty to attend Committee meetings, but shall have no voting rights.
